Welcome to Uptribo! Please read these Terms and Conditions completely which is owned and operated by Green Tribe Inc, the “Provider”. This Agreement documents the legally binding terms and conditions attached to the use of the UpTribo Application (“Services”).

By using or accessing the Services in any way, viewing or browsing the content, or adding your own content to the Services, you, the “User” are agreeing to be bound by these Terms and Conditions. Please see also our Privacy Policy.

Limitation of Liability

In no event shall the Services be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, business interruption, loss of information, or any other monetary loss, arising out of the use of or inability to use the SaaS product, even if the Services have been advised of the possibility of such damages. In any case, the total liability of Services for any claim arising out of or related to this agreement shall not exceed the amount paid by the customer for the use of the Services.

You agree not to hold us responsible for how other users interact with your your services and products you offer via our Services. We also cannot guarantee continuous or secure access to our Services. Notification functionality in our Services may not occur in real time. Such functionality is subject to delays beyond our control, including without limitation, delays or latency due to your physical location or your wireless data service provider’s network.

General Disclaimers

The following disclaimers apply to the use of our Services:

1. No Guarantees: While we strive to provide accurate and up-to-date information, we make no guarantees regarding the completeness, accuracy, reliability, suitability, or availability of the product.

2. Third-Party Services: Our product may integrate with third-party services. We are not responsible for any content, products, services, or practices of any third-party.

3. Security: We work diligently to maintain the security and integrity of our product. However, we cannot guarantee that our product will be free from unauthorized access or use.

4. Use at Your Own Risk: The use of our product is at your own risk, and we shall not be liable for any damages of any kind related to its use.

5. Changes to Terms: Prices for our product are subject to change without notice. We reserve the right to modify, update, or discontinue our product at any time, and we are not liable for any consequences of such actions.

By using our product, you agree to these disclaimers and acknowledge that it is your responsibility to review this section periodically for any updates.

Prices

UpTribo is currently offered for free. There is no subscriptions or hidden fees.

Payments can be made in order to support the development of the platform. This kind of payment is voluntary.

Indemnification

In the event of any claim, suit, or action arising from or related to the use of our SaaS product, the User agrees to indemnify and hold harmless the Green Tribe Inc., its affiliates, officers, employees, and agents from any liabilities, expenses, damages, and costs, including reasonable attorney fees, arising out of or in connection with the Subscriber’s use of the service, violation of the Terms of Service, or infringement of any intellectual property or other right of any person or entity.

The Provider agrees to promptly notify the User in writing of any claim, suit, or action subject to indemnification, and provide reasonable cooperation and assistance in the defense of such claim. The User shall have the right to control the defense and settlement of any such claim, provided that the Provider shall have the right to participate in the defense thereof at its own expense.

This indemnification section shall survive the termination or expiration of the agreement between the User and the Provider.

You understand that UpTribo does not control, and is not responsible for, User Content, and that by using the Services, you are responsible for the User Content you share.

This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights. You agree that you will indemnify, defend, and hold harmless Green Tribe Inc. for all claims resulting from User Content you post. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event you will cooperate with us in asserting any available defenses.

Intellectual Property

The Services and its original content, features, and functionality are owned by Green Tribe Inc., and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Termination

We may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of information associated with your account. All provisions of this Agreement that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes To This Agreement

The company reserves the right to change these conditions from time to time as it sees fit and your continued use of the Services will signify your acceptance of any adjustment to these terms. If there are any changes to our privacy policy, we will announce that these changes have been made on our home page and on other key pages on our site. If there are any changes in how we use our Services customers’ Personally Identifiable Information, notification by email will be made to those affected by the change, however we are not obliged to, and such changes to our privacy policy will be posted on our site 30 days prior to these changes taking place. You are therefore advised to re-read this statement on a regular basis.

Choice of Law And Jurisdiction

The terms of Use shall be governed by the laws of the province of Ontario, Canada without regard to the conflicts of laws rules of any jurisdiction. Every dispute concerning the interpretation or effect of these Terms of Use and/or your use of the Services must be resolved in the federal courts situated in the province of Ontario. You agree to the personal jurisdiction, subject matter jurisdiction, and venue of these courts.
